CRICKET SCOTLAND COUNCIL LTD EGM RESULT

At an Extraordinary General Meeting of the Cricket Scotland Council Limited, held on Tuesday February 27, the result of the vote to implement the recommendations of the Governance Review was as follows:

2a. Changes to the Articles of Association of Cricket Scotland Council Limited to create a single decision-making body.

Chris Blake, Director, Cricket Scotland Council Limited, said:

“The Council are pleased that the vote to adopt the new articles of association has carried, despite this meaning the end of the road for the Council.

“Whilst useful in providing knowledge and scrutiny of cricket matters, it became apparent to all that a one-board model is preferred to a two-board model.  The new structure provides representation from the domestic game, and also allows for future amendments should they be required.

“The articles also allow for better communication between stakeholders and their governing body.  The Council have helped implement the necessary changes to the organisation since the Changing the Boundaries report, and I would like to thank fellow members for their crucial contributions which were given voluntarily during this time.”

Wilf Walsh, Chair, Cricket Scotland (Limited), said:

“The Board of Cricket Scotland are pleased that the vote to adopt the new articles of association has been carried. This means our sport has adopted the recommendations of the March 2023 Governance Review which called for a single corporate entity to replace the current structure.

“These changes provide for a streamlined and effective decision-making structure while allowing all important representation from our domestic game as well as improved communication between all our members and the governing body.

“The Board is grateful to the Council in helping to navigate the process to a single board model. It has been a difficult period for the governing body with a lack of stability within the Board, and I would like place on record my thanks to the Council for their role in helping to steer the game through its recent challenges.

“I would also like to thank all members for their positive contributions and counsel during this period of change.”

The minutes of the EGM will clearly reflect the Board’s agreement to undertake, adhere, and apply the articles of association in line with the spirit and intentions around the election of directors and member oversight.
